Terms of Service

1. Who we are

Book Oside Direct (“Company,” “we,” “us”) operates a technology platform and booking facilitator (the “Platform”) that enables independent property owners and managers (“Hosts”) to list short-term rental properties in and around Oceanside, California, and allows travelers (“Guests”) to discover, book, and pay for stays. Unless expressly stated in a specific listing or written agreement, Book Oside Direct is not the owner, operator, property manager, landlord, or agent of any Property listed on the Platform.

2. Acceptance of these Terms

By accessing the Platform, creating an account, listing a Property, or completing a Booking, you agree to these Terms and the policies incorporated by reference, including our Privacy Policy, Cookie Policy, Cancellation & Refund Policy, and Community Standards. If you do not agree, do not use the Platform.

3. Eligibility and accounts

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate, current information and keep it updated.
• You are responsible for activity on your account and for keeping your credentials secure.
• We may refuse, suspend, or terminate accounts at our discretion where permitted by law.

4. Role of the Platform

The Platform provides tools for Hosts to publish Listings and manage Bookings, and for Guests to reserve and pay for stays. The rental relationship for any confirmed Booking is directly between the Host and the Guest, and each Booking is additionally governed by the Guest Rental Agreement (and, where a Host provides one, that Host's supplemental agreement). Book Oside Direct is a booking facilitator and limited payment collection agent for Hosts.

5. Bookings and payments

• Booking Fees include the nightly subtotal, cleaning fee (if any), a 7% service fee, a flat damage protection fee, and applicable taxes including the City of Oceanside Transient Occupancy Tax (currently 11.5%).
• Payments are processed by our third-party payment processor. By booking, you authorize the charge shown at checkout.
• Payouts are governed by the Payout Policy. During Phase 1 of the Platform, payouts are issued manually by ACH; automated payouts are planned for a future release but are not currently in effect.

6. Fees the Company charges

• Guest service fee: 7% of the nightly subtotal, disclosed at checkout.
• Host commission: 7% of the nightly subtotal, deducted from the Payout (see the Host Agreement and Payout Policy).
• Website setup fee (optional): a one-time $250 fee for Hosts who request a Company-built listing site.

Fee amounts in effect at the time of a Booking apply to that Booking; changes apply prospectively to new Bookings.

7. Taxes

Book Oside Direct may collect and remit certain occupancy or sales taxes where required or where we have elected to do so and clearly disclosed it at checkout. Hosts remain responsible for all other taxes associated with their rental activity, including income tax.

8. Prohibited conduct

• Illegal, fraudulent, or infringing activity.
• Circumventing the Platform to complete a Booking off-Platform after being introduced through the Platform.
• Discrimination in violation of applicable law.
• Uploading content you do not own or have permission to use.
• Interfering with the operation or security of the Platform.

9. Content

You retain ownership of content you submit. You grant us a non-exclusive, worldwide, royalty-free license to host, display, and distribute that content on and in connection with the Platform. You represent that you have the rights necessary to grant this license.

10. Disclaimers

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that Listings will match Guest expectations, that Properties will be available, or that Guests will comply with rules.

11. Limitation of liability

To the maximum extent permitted by law, the Company's aggregate liability arising out of or relating to your use of the Platform will not exceed the greater of (a) the fees the Company collected from you in the 12 months preceding the claim or (b) US $500. The Company will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless the Company and its officers, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, your Listings or Bookings, or your violation of these Terms or applicable law.

13. Suspension and termination

We may suspend or terminate accounts, remove Listings, or cancel Bookings if we believe there has been a violation of these Terms or our policies, a risk to Guests, Hosts, neighbors, or the Platform, or as required by law.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction there.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-Platform notice. Changes apply prospectively; existing Bookings are governed by the Terms in effect when they were made.
